Version of 30 October 2026. A translation: if it differs from the Uzbek text, the Uzbek text applies.
1. General terms
1.1. This document is a public offer under Article 369 of the Civil Code of the Republic of Uzbekistan. Bunyodbek Yoʻldoshboyev, a self-employed person (the “Performer”), offers any individual or legal entity (the “Client”) to conclude a contract for making a website on the terms below.
1.2. The Client accepts the offer by making the first payment under an agreed Order (Article 370 of the Civil Code). From the moment the first payment arrives, the contract is concluded, counts as concluded in writing and enters into force (Article 366 of the Civil Code). By paying, the Client confirms that they have read the offer and the Order and agree with them in full.
1.3. The offer is published on this website in Uzbek, Russian and English. If the texts differ, the Uzbek text applies.
1.4. The offer is valid while it is published on this website. The Performer may change it by publishing a new version. A contract already concluded stays under the version in force on the day of acceptance, unless the parties agree otherwise in writing.
1.5. Terms used in this offer:
- Website: the website or web application the Performer makes under an Order.
- Order: the written agreement on a specific project, made by Telegram or email, that states the tier, the scope of work, the price, the payment schedule and the deadline.
- Version: a working copy of the Website that the Performer sends by link for checking.
- Materials: texts, photos, logos, prices and other content the Client provides.
- Launch: handing over the finished Website, with access to its code and accounts, after the final payment.
- Working day: Monday to Friday, except days off and public holidays in Uzbekistan.
2. Subject of the contract
2.1. The Performer makes the Website under the Order and sets it up for use; the Client accepts the result and pays for it.
2.2. What each tier includes is described on the Prices page. The exact scope (pages, languages, features, rounds of edits), the price and the deadline are fixed in the Order.
2.3. Unless the Order says otherwise, the price does not include: the domain name; paid third-party services (paid hosting plans, paid fonts and photos, payment-service fees); writing texts or taking photos; changes after Launch.
3. Concluding and changing the contract
3.1. The Client describes the project by Telegram or email.
3.2. The Performer sends the Order, and the Client confirms it in reply.
3.3. The contract enters into force when the first payment under the Order arrives. Until then the Client may change or withdraw the request at no cost.
3.4. Any change or addition to a concluded contract (scope, deadline, price) is valid only if made in writing, by messages between the parties under clause 14.3; such a message counts as signed by the party that sent it. If the Client adds work, the Performer names the extra price and time before doing it.
4. Price and payment
4.1. The price is in soʻm. It is fixed in the Order and is no higher than the price published on the Prices page on the day of the Order. After the contract is concluded the price does not change, unless the Client adds work under clause 3.4.
4.2. Payment schedule:
- Start and Business: 50% when the contract is concluded; 50% within 5 working days after the Client approves the final Version, before Launch.
- Custom: 40% when the contract is concluded; 30% within 5 working days after the Client approves the design; 30% within 5 working days after the Client approves the final Version, before Launch.
4.3. The Client pays by the Performer’s payment QR code or into the Performer’s electronic business wallet (legal entities and individual entrepreneurs through the MUNIS system). Every payment gets an electronic receipt.
4.4. A payment counts as made on the day the money arrives. The price does not depend on the payment method.
4.5. If a payment is late, the Performer may pause the work, and the deadline moves by the length of the delay.
5. Deadlines
5.1. Deadlines: Start, 7 working days; Business, 15 working days; Custom, as stated in the Order.
5.2. The deadline runs from the later of two days: the day the first payment arrives and the day the Performer has all the Materials needed.
5.3. Time the Performer spends waiting for the Client (checking a Version, answers, Materials, a payment) does not count towards the deadline.
6. Making and accepting the Website
6.1. The Performer sends Versions by link. The Client checks each Version and sends the edits for each round as one list. The number of rounds depends on the tier: Start, 2; Business, 3; Custom, as stated in the Order. Extra rounds are paid separately, by agreement.
6.2. An edit is a change within the agreed scope. A new page, feature or design direction is extra work under clause 3.4.
6.3. The Client approves the final Version by a message. If, within 10 working days after the Performer’s reminder, the Client neither approves the Version nor sends reasoned objections, the Version counts as approved.
6.4. After the final payment the Performer places the Website on hosting in the Client’s name, connects the Client’s domain, and hands over access to the code and accounts. The day of handover is the day of Launch.
6.5. On the day of Launch the Performer sends the Client the act of acceptance of the work and transfer of rights. Within 3 working days the Client signs it (including by confirming it by message under clause 14.3) or sends reasoned objections in writing. If no objections are sent in that time, the work counts as accepted and the act as signed.
7. Rights to the Website
7.1. After full payment the Performer transfers to the Client the exclusive property rights to the design and code made for the Client under the Order (Articles 38, 39 and 41 of the Law “On copyright and related rights”): the rights to reproduce them, publish them online, distribute, change, adapt and translate them, and use them in any other way, worldwide, for the whole term of copyright protection. The fee for the transfer of these rights is included in the price of the Order.
7.2. Ready-made third-party components (open-source libraries, fonts, icons, licensed photos) are used under their own licenses, and the Client may use them within those licenses.
7.3. Until full payment the rights stay with the Performer, and the Performer may hold back the handover of the result (Article 639 of the Civil Code).
7.4. The Performer may show the finished Website (a link, screenshots, a short description) in his portfolio unless the Client objects in writing.
7.5. The Client confirms that they hold the rights to the Materials and that the content they ask for is lawful, and is responsible for third-party claims about the Materials. The Performer may refuse to publish content that breaks the law.
8. Ending the contract
8.1. The Client may cancel the contract at any time before Launch (Article 642 of the Civil Code).
8.2. Payments made are not returned: they pay for the time set aside for the Client’s project and for the work done up to the notice. Payments that have not yet fallen due are not owed. If the Client cancels after the Performer has sent the final Version, the work counts as done and the full price is due.
8.3. The Performer may end the contract:
- through the Client’s fault, including when, for more than 30 days after the Performer’s reminder, the Client does not provide Materials, answers or a payment (Article 644 of the Civil Code). Clause 8.2 then applies as if the Client had cancelled;
- for other objective reasons that make it impossible to finish the work. The Performer then hands the Client the work done (the latest Version with its code and design), the rights to it pass under clause 7.1, and the payments made count as full payment for it.
8.4. The party that decides to end the contract sends the other party a written notice 3 (three) days in advance (clause 14.3).
8.5. If the Client is a consumer, meaning they order the Website for personal needs not connected with business, the rights that the law gives consumers and that a contract cannot limit still apply.
9. Warranty and changes after Launch
9.1. For 3 months after Launch the Performer fixes free of charge any defect, meaning anything in the agreed work that does not work as stated in the Order. A defect is fixed within 10 working days of the Client’s message.
9.2. The warranty does not cover problems caused by changes the Client or others made to the code or settings, by changes or failures of third-party services (hosting, domain registrar, Telegram, payment services), or by the Materials.
9.3. This section does not limit the Client’s rights under the law, including consumer protection law.
9.4. After Launch, new work and changes are paid separately, and the Performer names a fixed price before starting. A small edit (text, a photo or a price on an existing page) costs 99,000 soʻm.
10. Domain, hosting and third-party services
10.1. The Client buys the domain in their own name and renews it once a year. The Performer helps connect it but is not responsible for a domain lost because it was not renewed.
10.2. Start and Business sites are placed on a free hosting plan in the Client’s name. The hosting provider’s terms apply, and the Performer is not responsible for the provider changing its free plans. Hosting for Custom is set in the Order.
10.3. To take card payments on the Website, the Client, as a registered business, concludes its own contract with a payment service (Payme, Click, Uzum or another app) and pays its fees. The Performer connects the service to the Website and tests it.
11. Personal data
11.1. The Performer processes the Client’s personal data (name, phone, Telegram, email, payment details) only to conclude and perform the contract and to meet tax duties, and passes it on only where the law requires (the tax authority, banks). By accepting the offer the Client consents to this processing.
11.2. If the Website collects visitors’ data (forms, orders), the Client is the owner and operator of that data. The Performer adds a consent line to such forms.
12. Liability
12.1. The parties are liable for failing to perform their obligations, or performing them improperly, under the Civil Code of the Republic of Uzbekistan, other laws and this contract.
12.2. Where the law allows such a limit, the Performer’s total liability under a contract is limited to the amount the Client paid under it, and the Performer is not liable for lost profit, penalties or other charges. The limit does not apply where the law forbids it, such as for intentional breach or where it would reduce a consumer’s rights.
12.3. Neither party is liable for a full or partial failure to perform caused by force majeure, meaning extraordinary events that could not be prevented and do not depend on the parties’ will (natural disasters, war, blockades, state bans and other circumstances recognised as force majeure by law). Deadlines move by the time such events last.
12.4. The Performer is not liable for a delay or failure caused by the Client’s actions or inaction, including late Materials, answers or payments.
13. Complaints and disputes
13.1. Complaints and claims are sent by Telegram or email (see section 15). The Performer replies within 10 days.
13.2. Disputes between the parties are first settled by agreement between them.
13.3. If a dispute cannot be settled by negotiation, the parties refer all disputes, disagreements and claims arising from the conclusion of this contract, the change of its terms, its breach, performance, termination and validity to the permanent arbitration court at the Association of Arbitration Courts of Uzbekistan (30 Navoiy Street, Tashkent) or, under the law in force, to the competent court (for a Client who is an individual, the civil court at the Client’s place of residence).
14. Final provisions
14.1. The contract enters into force when the first payment arrives (clause 3.3) and remains in force until the Performer hands over the result under the act (clause 6.5). Its parts on rights (section 7), warranty (section 9) and personal data (section 11) remain in force until those obligations end.
14.2. Matters this offer does not cover are governed by the laws and other legal acts of the Republic of Uzbekistan in force.
14.3. Notices, approvals and other messages under the contract are sent in writing, by Telegram or email, between the contacts given in the Order (the Performer’s are in section 15). Such a message counts as made in writing and as received on the day it is delivered. A party whose contact details change tells the other party within 3 days; until then, messages sent to the old contacts count as received.
14.4. This offer and the Order make up the whole agreement of the parties on the project; earlier talks and messages about its terms no longer apply.
14.5. If any term of the offer is found invalid, the other terms remain in force.
